Terms of Service

By accessing or using 360AutoShop ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you don't agree to these Terms, you may not use the Service. These Terms apply to all users, including free trial users, paying customers, and visitors to our website. We reserve the right to modify these Terms at any time. We'll notify you of material changes via email or through the Service. Your continued use after changes take effect constitutes acceptance.

360AutoShop provides cloud-based software for auto repair shop management, including: • Appointment scheduling and customer reminders • Digital invoicing and payment processing • Inventory tracking and management • AI-powered diagnostic assistance • Analytics and reporting • Customer portal and communication tools We reserve the right to modify, suspend, or discontinue any feature at any time with or without notice. We'll make reasonable efforts to notify you of significant changes.

To use 360AutoShop, you must: • Be at least 18 years old • Provide accurate, current, and complete information • Maintain the security of your account credentials • Not share your account with others • Notify us immediately of any unauthorized access You're responsible for all activity under your account. We're not liable for losses due to unauthorized access resulting from your failure to secure your credentials. We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion, including for violations of these Terms.

We offer a 14-day free trial with full access to all features. No credit card is required to start your trial. Trial terms: • One trial per shop/business • Full feature access during trial period • No automatic billing at trial end • Data is retained for 30 days after trial ends At the end of your trial, you can: • Subscribe to a paid plan to continue using the Service • Export your data within 30 days • Let your account expire (data deleted after 30 days) We reserve the right to modify or terminate free trial offers at any time.

Subscription Plans: • Billed monthly or annually in advance • Prices displayed at checkout (subject to change with 30 days notice) • All fees are exclusive of taxes unless stated otherwise • Payments processed securely through Stripe Billing Cycle: • Starts on the date you subscribe • Automatically renews unless canceled • Renewal charges on the same day each billing period • Failed payments result in service suspension after 7 days Refunds: • 30-day money-back guarantee on annual plans • Monthly subscriptions are non-refundable • Partial refunds for service outages exceeding our SLA • Refunds processed within 7-10 business days

You can cancel your subscription at any time: • Cancel through your account settings • Email support@360autoshop.com • Call 1-800-360-AUTO Upon cancellation: • Service continues until the end of your billing period • No refund for unused time on monthly plans • Data remains accessible for 30 days • Export your data before deletion We may terminate your account if: • You violate these Terms • Payment fails and remains unresolved for 7 days • You engage in fraudulent activity • You abuse our support resources Upon termination, your right to use the Service immediately ceases. We'll provide 30 days to export your data unless termination is for fraud or abuse.

Your Data: • You retain all rights to data you enter into 360AutoShop • We don't claim ownership of your customer or business data • You grant us license to store and process your data to provide the Service • You can export your data at any time • We delete your data within 30 days of account termination Your Responsibilities: • You're responsible for backing up your data • You must have rights to all data you input • You must comply with privacy laws regarding customer data • You must not upload malicious code or unauthorized content Our Data: • We retain ownership of the 360AutoShop software and platform • Usage analytics and aggregated data may be used to improve our Service • You may not reverse engineer, decompile, or copy our software

You agree NOT to: • Violate any laws or regulations • Infringe on intellectual property rights • Upload viruses, malware, or malicious code • Attempt to hack or compromise our systems • Use the Service for spam or unsolicited communications • Share your account credentials • Scrape or copy our software • Use the Service to compete with 360AutoShop • Overload our systems through excessive API calls • Store illegal content Violations may result in immediate account termination without refund.

We guarantee: • 99.9% uptime (excluding scheduled maintenance) • Less than 4 hours of downtime per month • Scheduled maintenance during off-peak hours with 48 hours notice If we fail to meet our SLA: • Contact support within 48 hours of the outage • We'll investigate and confirm the outage • You'll receive service credits: 10% for each hour of downtime exceeding our SLA • Credits applied to your next invoice SLA excludes: • Downtime caused by your internet/equipment • Force majeure events (natural disasters, wars, etc.) • DDoS attacks or other security incidents • Third-party service failures (Stripe, AWS, etc.)

360AutoShop Platform: • We own all rights to the 360AutoShop software, brand, and platform • You may not copy, modify, or create derivative works • Our trademarks and logos may not be used without permission Your License: • We grant you a limited, non-exclusive license to use the Service • License is for your internal business use only • License terminates upon account cancellation or termination Feedback: • We appreciate feedback and feature suggestions • By submitting feedback, you grant us the right to use it without compensation or attribution

TO THE MAXIMUM EXTENT PERMITTED BY LAW: • 360AutoShop is provided "AS IS" without warranties of any kind • We don't guarantee the Service will be error-free or uninterrupted • We're not liable for lost profits, data loss, or indirect damages • Our total liability is limited to the amount you paid in the past 12 months • We're not responsible for third-party integrations or services You acknowledge that: • You should maintain backups of your data • Internet-based services carry inherent risks • You use the Service at your own risk Some jurisdictions don't allow liability limitations. In those cases, our liability is limited to the fullest extent permitted by law.

You agree to indemnify and hold 360AutoShop harmless from claims arising from: • Your violation of these Terms • Your violation of any law or third-party rights • Your use of the Service • Content you upload or transmit • Your negligence or willful misconduct This means you'll defend us and pay any damages, costs, and attorney fees if we're sued because of your actions.

Informal Resolution: • Contact us first at legal@360autoshop.com • We'll work in good faith to resolve the issue • Most disputes are resolved this way Binding Arbitration: • If informal resolution fails, disputes go to binding arbitration • Arbitration conducted under JAMS rules in Austin, Texas • You waive the right to a jury trial • You waive the right to participate in class actions Exceptions: • Small claims court disputes (under $10,000) • Intellectual property disputes • Injunctive relief for urgent matters

Governing Law: • These Terms are governed by Texas law • Venue for any litigation is Travis County, Texas Severability: • If any provision is unenforceable, the rest remains in effect Assignment: • You may not transfer your account without our consent • We may assign our rights and obligations Entire Agreement: • These Terms constitute the entire agreement between us • Supersedes all prior agreements Force Majeure: • We're not liable for delays/failures due to circumstances beyond our control Notices: • Legal notices sent to the email on your account • You must keep your email current
